Please read these terms carefully before using the Apricode Exchange platform.
1. Acceptance of Terms
1.1 Agreement
By accessing and using the Apricode Exchange platform, you accept and agree to be bound by these Terms of Service. If you do not agree, you must not use our services.
1.2 Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our services, you represent that you meet these requirements.
1.3 Business Use
Our platform is designed for business-to-business (B2B) use by licensed VASP operators, fintechs, and enterprise clients. You must have appropriate licenses and compliance measures in place.
2. License & Usage
2.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Apricode Exchange platform in accordance with your subscription plan.
2.2 Restrictions
You may not: (a) modify, reverse engineer, or decompile the software; (b) rent, lease, or sublicense the platform; (c) use the platform for illegal activities; (d) interfere with security features.
2.3 Intellectual Property
All intellectual property rights in the platform, including software, documentation, trademarks, and content, remain the exclusive property of APRICODE INTERNATIONAL LTD.
3. Services & Availability
3.1 Service Provision
We provide a white-label cryptocurrency exchange platform with associated services including KYC/AML integration, banking rails, compliance tools, and technical support.
3.2 Availability
While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
3.3 Updates & Changes
We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for material changes.
4. User Responsibilities
4.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Enable two-factor authentication (2FA) for enhanced security.
4.2 Compliance
You must comply with all applicable laws and regulations, including AML/KYC requirements, MiCA, DORA, and local financial services regulations in your jurisdiction.
4.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update this information as necessary.
4.4 Prohibited Activities
You must not use the platform for money laundering, terrorist financing, fraud, market manipulation, or any other illegal activities.
5. Limitation of Liability
5.1 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.
5.2 Liability Cap
To the maximum extent permitted by law, our total liability shall not exceed the amount paid by you for the services in the 12 months preceding the claim.
5.3 Exclusions
We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
5.4 Third-Party Services
We are not responsible for third-party services (KYC providers, payment processors, blockchain networks) integrated with our platform.
6. Termination
6.1 Termination by You
You may terminate your account at any time by providing written notice. You remain liable for all fees incurred prior to termination.
6.2 Termination by Us
We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or for legal or regulatory reasons.
6.3 Effect of Termination
Upon termination, your license to use the platform ceases. We will provide reasonable access to export your data within 30 days, subject to applicable laws.
7. Governing Law & Disputes
7.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
7.2 Jurisdiction
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
7.3 Dispute Resolution
Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations for a period of 30 days.
